Terms of Service

1. Definitions

• "We/Us/Our": AI Consulting Solutions Pty Ltd.
• "You/Client": The individual or entity engaging our services.
• "Services": Consulting, implementation, training, and support services.
• "Deliverables": Work product such as workflows, code, documentation, reports.
• "Service Agreement": The specific Statement of Work (SOW) or proposal for your project.

2. Services Overview

We provide AI implementation, automation, consulting, and training services. Each engagement is defined by a Service Agreement detailing scope, timeline, and fees.

We are a professional services firm acting with best efforts; we do not guarantee specific business outcomes (e.g., revenue increases) as these depend on many factors.

3. Client Responsibilities

To ensure success, you agree to:

• Provide timely access to systems, data, and stakeholders.
• Make decisions and approvals within agreed timelines (typically 5 business days).
• Participate in testing (UAT) and training.
• Pay fees on time and maintain necessary third-party licenses (e.g., software subscriptions).

4. Our Responsibilities

We commit to:

• Perform services with reasonable care, skill, and professional standards.
• Deliver work according to the Service Agreement scope and timeline.
• Keep you informed of progress and issues.
• Protect your Confidential Information.
• Provide post-implementation support (30-60 days) and training.

5. Fees and Payment

• Fees: As specified in Service Agreement (Fixed Price or Retainer).
• Payment Terms: 30% deposit, 40% midpoint, 30% completion (standard).
• Invoices: Due within 14 days. Late payments may incur interest (1.5%/month).
• Expenses: Local travel included. Interstate/software licenses charged separately/at cost.
• Taxes: Fees are exclusive of GST (10% added for AU clients).

6. Intellectual Property Rights

• Your IP: You retain ownership of your data, processes, and existing systems.
• Our IP: We retain ownership of our methodologies, templates, and pre-existing code.
• Deliverables: You own the custom workflows/configurations built for you. We retain rights to reusable underlying components.
• License: You get a perpetual, non-exclusive license to use the Deliverables for your business.

7. Confidentiality

Both parties agree to protect each other's Confidential Information. We will only use your data to provide services and will not disclose it to third parties without permission, except as required by law.

8. Warranties and Disclaimers

We warrant our services will be performed with reasonable care. We DISCLAIM other warranties (merchantability, fitness for purpose) to the extent permitted by law. We do not guarantee specific ROI or error-free operation of third-party platforms.

Nothing in these Terms excludes guarantees under Australian Consumer Law.

9. Limitation of Liability

Our liability is limited to the fees paid by you for the specific engagement or $100,000 (whichever is less). We are not liable for lost profits, data loss, or consequential damages.

10. Term and Termination

Termination for Convenience: You may terminate with notice (14 days for projects, 30 days for retainers), paying for work done.

Termination for Cause: Immediate termination for material breach (e.g., non-payment).

11. Dispute Resolution

Parties agree to negotiate in good faith first. If unresolved, mediation in Sydney. Litigation is a last resort (NSW Courts).

12. General Provisions

These Terms + Service Agreement = Entire Agreement. We are independent contractors. Force Majeure applies. Governed by laws of NSW, Australia.
